Terms and conditions of sale

1. Purpose

These terms and conditions of sale govern the contractual relationship between [Company name], [legal form], whose registered office is at [Full address], and its clients, for the services described in article 2.

2. Services

[Company name] performs the services described in the quotation: [nature of services]. The exact scope of each service is defined in the quotation and, where applicable, in an attached specification.

3. Quotations and orders

Each service is covered by a detailed quotation. The order is deemed firm once the quotation is signed and, where applicable, the agreed deposit is paid. Any change of scope during the project is covered by an amendment.

4. Prices and payment terms

Prices are stated in euros excluding tax; applicable VAT is added to the invoice. Unless the quotation states otherwise, invoicing is staged. Invoices are payable within [term, e.g. 30 days] of receipt. Late payment automatically incurs interest at the applicable statutory rate together with a fixed recovery charge of 40 €.

5. Lead times

Lead times stated in the quotation are indicative and run from receipt of the required items (content, access, approvals). A reasonable delay may not give rise to cancellation of the order or to damages.

6. Client obligations

The client undertakes to provide the necessary information, content and access in good time, to appoint a single point of contact and to approve deliverables at the agreed stages. Failing this, lead times are suspended accordingly.

7. Intellectual property

Unless the quotation states otherwise, deliverables produced specifically for the client are assigned to them upon payment in full. Third-party components remain subject to their respective licences. [Company name] retains the right to cite the work as a reference, unless confidentiality is requested in writing.

8. Warranty and maintenance

Deliverables carry a conformity warranty of [period, e.g. 3 months] covering correction of reported defects. Maintenance, support and enhancement beyond that period are covered by a separate contract or quotation.

9. Liability

[Company name] is bound by an obligation of means. Its liability is limited to direct and foreseeable damage, capped at the amounts actually paid for the service concerned. [Company name] may not be held liable for indirect damage (loss of business, data or revenue).

10. Confidentiality

Each party undertakes to keep confidential the information exchanged in connection with the project and not to disclose it to third parties without prior authorisation.

11. Governing law and disputes

These terms are governed by French law. In the event of a dispute, and failing an amicable settlement, the competent courts shall be those of [City].
